1. General Provisions
1.1. These General Terms and Conditions ("Terms") govern the business relationship between Swagat Foods s.r.o., with its registered office at Koubkova 262/11, Vinohrady, 12000 Praha 2, Netherlands, registered under company number 12345678 (hereinafter "Swagat Foods" or "Seller"), and its wholesale customers (hereinafter "Buyer").
1.2. By placing an order with Swagat Foods, the Buyer agrees to be bound by these Terms. Any deviations from these Terms require written agreement from both parties.
1.3. These Terms apply to all offers, quotations, orders, and agreements between the Seller and the Buyer, unless otherwise agreed in writing.
2. Ordering & Prices
2.1. All orders are subject to acceptance and product availability. Swagat Foods reserves the right to refuse or cancel any order.
2.2. Prices are quoted exclusive of VAT and are subject to change without prior notice. The applicable price is the price in effect at the time of order confirmation.
2.3. Minimum order value is EUR 150 (excl. VAT). Orders below the minimum value will not be processed.
2.4. Customer-specific pricing agreements shall be documented separately and may be subject to volume commitments and periodic review.
3. Delivery & Transfer of Risk
3.1. Delivery dates are estimates and are not binding unless explicitly confirmed in writing. Swagat Foods shall not be liable for delays caused by circumstances beyond its control.
3.2. Risk of loss or damage to products shall pass to the Buyer upon delivery at the agreed delivery address.
3.3. The Buyer must inspect goods upon delivery and report any visible damage or discrepancies on the delivery note. Failure to do so constitutes acceptance of the goods.
3.4. Free delivery applies to orders exceeding EUR 500 (excl. VAT). A delivery charge may apply to orders below this threshold.
4. Payment Terms
4.1. Payment is due within 14 days of invoice date unless otherwise agreed in writing. New customers may be required to pay on delivery (COD) until credit terms are established.
4.2. Late payment shall incur statutory interest in accordance with applicable law, plus reasonable collection costs.
4.3. Swagat Foods reserves the right to withhold further deliveries if any outstanding invoices are overdue.
4.4. Payment may be made by bank transfer, direct debit, or cash on delivery as agreed between the parties.
5. Returns & Claims
5.1. The Buyer must report any defects, shortages, or incorrect deliveries within 48 hours of receipt. For perishable goods, claims must be made within 24 hours.
5.2. Returns must be authorised in advance by Swagat Foods. Goods must be returned in their original packaging and in resalable condition.
5.3. Perishable goods, frozen products, and custom-ordered items are non-returnable unless defective upon delivery.
5.4. Authorised returns will be credited or replaced at the discretion of Swagat Foods.
6. Liability
6.1. Swagat Foods shall not be liable for any indirect, consequential, or incidental damages, including loss of profit, loss of revenue, or business interruption.
6.2. Total liability for any claim shall not exceed the invoice value of the products giving rise to the claim.
6.3. Swagat Foods shall not be liable for any failure to perform due to force majeure, including but not limited to natural disasters, strikes, supply chain disruptions, pandemics, or government actions.
7. Data Protection (GDPR)
7.1. Swagat Foods processes personal data in accordance with Regulation (EU) 2016/679 (GDPR) and applicable national data protection legislation.

8. Governing Law & Jurisdiction
8.1. These Terms shall be governed by and construed in accordance with the laws of the Czech Republic.
8.2. Any disputes arising out of or in connection with these Terms shall be submitted to the competent courts in Prague, Czech Republic.
8.3. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.
